Welcome to PristineInvoice ("we," "us," or "our"), the provider of the ZATCA API Platform and related eCommerce services. These Terms of Use ("Terms") govern your access to and use of our Platform, including our website, services, and features such as tenant creation, Electronic Generation Systems (EGS) management, invoice submission, customer support, and the purchase and sale of products. By accessing or using the Platform or making purchases on our website, you agree to be bound by these Terms. If you do not agree, you must not use the Platform or website.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Platform or make purchases. By using the Platform or website, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.
2. Use of the Platform and Website
The Platform enables you to integrate your systems with the Zakat, Tax, and Customs Authority (ZATCA) through features like tenant creation, EGS unit management, and invoice submission. The website allows you to browse and purchase products or services. You agree to:
- Use the Platform and website in compliance with all applicable laws, regulations, and ZATCA requirements.
- Provide accurate and complete data for tenant creation, invoice submissions, registration, and checkout processes.
- Maintain the confidentiality of your account credentials, including username and password, and notify us immediately of any unauthorized access.
- Not use the Platform or website for any unlawful, fraudulent, or unauthorized purposes, including attempts to disrupt or interfere with their operation.
3. Account and Tenant Creation
You may create a dedicated tenant on the Platform at no cost to integrate with ZATCA or register an account to make purchases on our website. You are responsible for:
- Ensuring the accuracy of all registration and billing information provided during tenant creation or account setup.
- Managing multiple EGS units and ensuring compliance with ZATCA requirements, if applicable.
- Safeguarding access to your tenant, account, and associated data.
4. Product Information and Pricing
We strive to provide accurate product descriptions, images, and pricing information on our website and Platform. However, we do not guarantee the accuracy or completeness of such information. Prices are subject to change without notice. Any promotions or discounts are valid for a limited time and may be subject to additional terms and conditions.
5. Orders and Payments
By placing an order on our website or submitting invoices via the Platform, you are making an offer to purchase products or services. You agree to:
- Provide valid and up-to-date payment information and authorize us to charge the total order amount, including applicable taxes and shipping fees, to your chosen payment method.
- Submit accurate and complete invoice data in accordance with ZATCA regulations for Platform submissions.
- Acknowledge that we store invoice transactions securely in our cloud infrastructure and share necessary data with ZATCA for compliance.
- Not submit false, misleading, or fraudulent order or invoice data.
We reserve the right to refuse or cancel any order or invoice submission for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraudulent activity. We use trusted third-party payment processors to handle your payment information securely. We do not store or have access to your full payment details.
6. Shipping and Delivery
We will make reasonable efforts to ensure timely shipping and delivery of your orders. Shipping and delivery times provided are estimates and may vary based on your location and other factors.
7. Returns and Refunds
Our Returns and Refund Policy governs the process and conditions for returning products and seeking refunds for purchases made on our website. Please refer to the policy provided on our website for more information. For Platform subscriptions, refer to Section 14 (Subscription Cancellation and Return of Payment Policy) below.
8. Intellectual Property
All content, software, and materials on the Platform and website, including but not limited to text, images, logos, graphics, API, dashboard, and documentation, are owned by or licensed to PristineInvoice. You are granted a limited, non-exclusive, non-transferable license to use the Platform and website for their intended purposes. You may not:
- Copy, modify, distribute, or reverse-engineer any part of the Platform or website.
- Use our trademarks, logos, or branding without prior written permission.
- Create derivative works based on the Platform’s or website’s software or content.
9. Service Availability
We strive to maintain 99.9% uptime for the Platform and website, with data protected by 256-bit encryption. However, we do not guarantee uninterrupted access and are not liable for downtime caused by maintenance, technical issues, or external factors beyond our control.
10. Support Services
We provide dedicated product support through our ticketing system. While we aim to respond promptly, response times may vary. You agree to provide clear and accurate information when raising support tickets to ensure efficient resolution.
11. Prohibited Conduct
You may not:
- Use the Platform or website to transmit malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to our systems, servers, or other users’ data.
- Overload the Platform’s or website’s infrastructure, such as through excessive API calls or denial-of-service attacks.
- Use the Platform or website to violate the rights of others or engage in illegal activities.
12. Termination
We may suspend or terminate your access to the Platform or website if you violate these Terms, fail to comply with ZATCA regulations, or engage in conduct that harms the Platform, website, or other users. You may terminate your account by contacting us or closing your tenant. Upon termination, your data will be retained or deleted in accordance with our Privacy Policy and applicable laws.
13. Limitation of Liability
To the fullest extent permitted by law, PristineInvoice, its directors, employees, or affiliates are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform or website, or the purchase and use of our products or services, including loss of data, profits, or business opportunities. We make no warranties or representations, express or implied, regarding the quality, accuracy, or suitability of the products or services offered. Our total liability for any claim is limited to the amount you paid, if any, for using the Platform or website.
14. Indemnification
You agree to indemnify and hold PristineInvoice, its affiliates, and employees harmless from any claims, damages, or losses arising from your use of the Platform or website, violation of these Terms, or non-compliance with ZATCA regulations.
15. Governing Law
These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Sri Lanka.
16. Amendments and Termination of Terms
We reserve the right to modify, update, or terminate these Terms at any time without prior notice. We will notify you of significant changes via email or through the Platform or website. The "Last Updated" date at the top indicates the latest revision. Continued use of the Platform or website after changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically for any changes.
17. Subscription Cancellation and Return of Payment Policy
If you have subscribed to any paid services on the Platform or website, you may cancel your subscription at any time by accessing your account settings or contacting our support team via the ticketing system or at pristinecodes@gmail.com. The following terms apply:
- Cancellation: Upon cancellation, your subscription will remain active until the end of the current billing cycle, and no further charges will be applied. You will retain access to paid features until the billing cycle concludes.
- Refunds: Refunds for subscription payments or product purchases are not provided unless required by applicable law or in cases of significant service disruptions caused by PristineInvoice, as determined at our sole discretion. Requests for refunds must be submitted in writing within 14 days of the charge via pristinecodes@gmail.com or through a support ticket.
- Non-Refundable Fees: Any setup fees, one-time charges, or payments for services already rendered are non-refundable.
- Disputes: If you dispute a charge, please contact us before initiating a chargeback with your payment provider, as chargebacks may result in account suspension and additional fees.
